Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vidfield AI at https://vidfield.ai (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of an entity, you represent you have authority to bind that entity, and "you" includes the entity.

1) Acceptance and Updates

  • Acceptance. By using the Service, you agree to these Terms.
  • Changes. We may update these Terms from time to time. Continued use after updates means you accept the updated Terms.

2) Description of the Service

  • What Vidfield does. Vidfield AI is a web-based creative platform with a canvas workflow and tools such as Image, Video, Enhance, Motion Transfer, and 3D, plus an Assets library.
  • Third-party processing. Some features route requests through third-party AI models and infrastructure providers. Those providers may have their own terms and acceptable-use rules.

3) Accounts

  • Account required. You may need an account to use certain features.
  • Your responsibility. You are responsible for safeguarding credentials and all activity under your account.
  • Suspension/termination. We may suspend or terminate accounts that violate these Terms.

4) Inputs, Outputs, and Content Ownership

Definitions:

  • "Input" = prompts, instructions, files, images, videos, audio, and project/canvas data you submit.
  • "Output" = content generated by the Service in response to your Input (images, videos, enhancements, motion transfer results, 3D outputs, etc.).
  • "User Content" = Input + Output.
  • Your ownership. As between you and Vidfield, you retain rights to your Input. You own your Output to the extent permitted by applicable law.
  • Non-uniqueness. Output may be similar or identical to content generated for other users.
  • Export/download. The Service may allow you to download or export Output. You are responsible for how you use, publish, or distribute Output and for ensuring you have all required rights and permissions.
  • Your responsibility. You are responsible for ensuring you have the rights and permissions to use your Input and to use/share Output (copyright, trademark, privacy, publicity).

5) License You Grant to Operate the Service

  • Limited service license. You grant Vidfield a worldwide, royalty-free license to host, store, reproduce, process, and display your User Content only as needed to:
    • provide the Service and generate Output you request,
    • maintain your projects/assets and enable export/download,
    • run safety and security measures, and
    • use vendors for hosting, storage, compute, and support.
  • No ownership transfer. This license does not transfer ownership of your User Content to Vidfield.

6) Acceptable Use

You agree not to use the Service to:

  • Illegal content / rights violations. Create, upload, or share content that is illegal or infringes another person's rights.
  • Minors safety. Create, upload, or share content that sexually exploits minors or otherwise endangers minors.
  • Non-consensual intimate content. Create, upload, or share intimate/sexually explicit content of a real person without consent.
  • Deepfakes / impersonation abuse. Create synthetic media of a real person (face/voice) that is misleading, deceptive, harmful, or made without required permission/consent.
  • Harassment / hate. Create, upload, or share content that harasses, threatens, or promotes hate or discrimination.
  • Violence / extremism. Create, upload, or share content that promotes violence, terrorism, or extremist activity.
  • Fraud / scams. Use the Service for phishing, scams, or impersonation for fraud.
  • Malware / system harm. Upload malware or use the Service to hack, disrupt, or damage systems.
  • Bypass safeguards. Attempt to bypass safety filters, moderation, security controls, or usage limits.
  • Scraping / automation abuse. Use bots/scrapers/automation to extract data or outputs at scale without permission.
  • Resell / share access. Resell, rent, share, or transfer your account or paid access without our written permission.

Enforcement. We may remove content, restrict features, suspend, or terminate access if we believe you violated these Terms or if needed to protect the Service, users, or third parties.

7) Credits, Subscriptions, Top-Ups, Expiry, and Billing

Vidfield uses a credit system. Using certain features consumes credits based on the tool used and the workload.

7.1 Credit Types (tracked separately)

  • Monthly subscription credits
  • Annual subscription credits
  • One-time top-up credits

We track these balances separately and may display balances and expiry/reset timing in your billing/settings.

7.2 Monthly Plans

  • Monthly subscription credits reset each billing month on your renewal date.
  • Any unused monthly subscription credits expire at the end of that billing month (no indefinite rollover).

7.3 Annual Plans

  • Annual plans provide your full yearly credit allocation upfront at the start of the annual billing cycle.
  • Annual subscription credits expire at the end of the annual billing cycle (no indefinite rollover beyond the cycle).

7.4 One-Time Top-Up Credits

  • Top-up credits are tracked separately from subscription credits.
  • Top-up credits expire 90 days from the purchase date unless otherwise stated at checkout.
  • Top-up credits do not change your subscription credit reset dates.

7.5 Upgrade Handling

  • If you upgrade your plan, remaining subscription credits carry into the new plan in a way that reflects the upgrade at the time it occurs.
  • Top-up credits remain separate and keep their original expiry date.

7.6 No Cash Value; Non-Transferable

  • Credits have no cash value, are not legal tender, and are non-transferable.
  • Credits are for use only within Vidfield and may not be resold, gifted, or transferred.

7.7 Credit Costs, Pricing, and Plan Changes

  • We may adjust credit costs per feature/model/action over time (for example due to provider cost changes or product updates).
  • We may change plan pricing, included credits, and plan structures. Where required, we will provide notice to active subscribers.

7.8 Auto-Renewal and Cancellation

  • Subscriptions may renew automatically unless cancelled before renewal.
  • Cancellation typically takes effect at the end of the current billing period unless otherwise stated at checkout.

8) Failed Jobs and Credit Adjustments

  • Platform errors. If a job fails due to a confirmed Service-side error, we may restore the credits consumed for that job.
  • Other failures. We are not obligated to restore credits for failures caused by user inputs, network issues, third-party provider outages, policy enforcement, or outputs being blocked for safety/compliance reasons.
  • Abuse prevention. We may withhold credit restoration where we reasonably suspect abuse, fraud, or automated exploitation.

9) Refund Policy (Credits and Digital Services)

  • General rule. Purchases are for digital services and credit allocations. Because credits are consumed to pay third-party AI and infrastructure costs, refunds are generally not available once a purchase is completed, except where required by law.
  • Used credits. If credits have been used, we generally cannot refund the used portion.
  • Limited, good-faith exceptions. We may approve a refund (full or partial) in limited cases, at our discretion, such as duplicate charges, billing errors, or a significant service issue that prevents reasonable use.
  • No abuse. We may deny refund requests if we reasonably believe the request is intended to abuse the Service or if a significant portion of credits was used.
  • Request a review. Email support@vidfield.ai with your account email, purchase details, and a brief explanation.

10) Copyright and Rights Complaints (DMCA-style)

We respect intellectual property rights.

10.1 Reporting copyright infringement

Email support@vidfield.ai with:

  • your signature,
  • identification of the copyrighted work,
  • identification of the material claimed to be infringing and where it appears (URLs/screenshots),
  • your contact info,
  • a good-faith belief statement that the use isn't authorized, and
  • a statement under penalty of perjury that the notice is accurate and you're authorized to act.

We may remove or disable access to material and may terminate repeat infringers.

10.2 Counter-notice

If you believe content was removed by mistake or misidentification, you may send a counter-notice including:

  • your signature,
  • identification of the removed material and where it appeared,
  • a statement under penalty of perjury of good-faith belief it was removed by mistake, and
  • your name/contact info and consent to jurisdiction/service of process.

11) User Content Responsibility; No Duty to Pre-Screen

  • User Content is provided by users.
  • We do not have an obligation to review or monitor User Content, though we may do so and may remove content at our discretion.
  • You use the Service and any User Content at your own risk.

12) No Liability for User Copyright Infringement

  • You are solely responsible for your Inputs, Outputs, and any use/sharing of them.
  • To the maximum extent permitted by law, Vidfield, its owners, team, and service providers are not liable for copyright infringement or other rights violations arising from User Content, including where infringement results from your Inputs, instructions, or use of the Service.
  • If we receive a valid complaint, we may remove content and take enforcement actions as described above.

13) Third-Party Services and Providers

  • Third-party AI providers may change availability, pricing, quality, or policies.
  • We are not responsible for third-party outages, output quality, or provider policy decisions.

14) Service Availability and Changes

  • We aim for high availability but do not guarantee uninterrupted Service.
  • We may add, modify, limit, or discontinue features at any time.

15) Disclaimers

  • The Service is provided "as is" and "as available."
  • Outputs may be inaccurate, incomplete, or unsuitable; you must review before use.
  • We disclaim warranties to the maximum extent permitted by law.

16) Limitation of Liability

  • To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages.
  • Our total liability will not exceed the amount you paid to Vidfield in the 12 months before the event giving rise to the claim.

17) Indemnification

You agree to indemnify and hold Vidfield harmless from claims, damages, and expenses arising from:

  • your User Content,
  • your use of the Service, or
  • your violation of these Terms or third-party rights.

18) Termination

  • You may stop using the Service at any time.
  • We may suspend or terminate access if you violate these Terms or create risk/legal exposure.
  • Upon termination, your right to use the Service ends immediately.

19) Disputes; Arbitration; Class Action Waiver

Please read carefully. This affects your rights.

  • Informal first. Before filing a claim, you agree to contact us at support@vidfield.ai and try to resolve the dispute informally.
  • Arbitration. To the extent permitted by applicable law, disputes will be resolved by binding arbitration on an individual basis, except eligible small-claims matters. Arbitration may be conducted remotely.
  • No class actions. You agree disputes will be brought only in an individual capacity, not as a class or representative action.
  • Local law limitations. If your local law does not allow arbitration or certain waivers, those parts may not apply to you.

20) Governing Law and Venue

  • These Terms are governed by the laws of India.
  • Subject to applicable law, disputes not subject to arbitration will be brought in the competent courts located in Rajasthan, India.
